Requirements
Bachelor’s degree in Law from a reputable university; Master’s degree (LL.M.) or professional legal certifications are an advantage.
Minimum 15 years of experience in corporate legal functions.
Proven experience in handling Mergers & Acquisitions (M&A), investments, joint ventures, divestments, restructuring, and other corporate actions.
Strong knowledge of corporate law, contract law, corporate governance, regulatory compliance, and legal risk management.
Extensive experience conducting legal due diligence, transaction structuring, negotiation, and transaction execution.
Strong experience drafting, reviewing, and negotiating complex commercial agreements and transaction documents.
Familiarity with capital market regulations, shareholder matters, and corporate governance practices is an advantage.
Excellent stakeholder management skills with experience working closely with senior management, boards of directors, external counsels, regulators, and business partners.
Strong leadership, analytical, negotiation, and problem-solving skills.
Excellent communication skills in both Bahasa Indonesia and English.
Job Descriptions
Lead and oversee all corporate legal matters to ensure compliance with applicable laws, regulations, and corporate governance requirements.
Manage and execute M&A transactions, including legal due diligence, transaction structuring, negotiation, documentation, closing, and post-transaction integration support.
Provide legal advice and strategic guidance on corporate actions, including acquisitions, divestments, investments, joint ventures, restructurings, and strategic partnerships.
Review, draft, negotiate, and manage a wide range of commercial agreements, shareholder agreements, financing agreements, and other legal documents.
Identify, assess, and mitigate legal risks associated with business operations, investments, and strategic initiatives.
Ensure compliance with corporate governance requirements and support board, shareholder, and committee matters.
Liaise with regulators, government agencies, external legal advisors, auditors, and other stakeholders on legal and regulatory matters.
Develop and implement legal policies, procedures, and internal controls to strengthen governance and operational efficiency.
Lead legal due diligence activities and support business teams in evaluating new investment opportunities and strategic transactions.
Monitor legal and regulatory developments and provide proactive recommendations to management regarding potential business impacts.
